It is a common misconception that Dormant Limited Companies do not need to file Annual Returns. This is not the case, they do.
Annual Returns are nothing to do with the trading status of a Limited Company; they are simply a “snapshot” of the company’s current appointments, addresses and shareholding situation.
All Limited Companies, regardless of their status (unless they are dissolved) must file an Annual Return.
Annual Returns are not to be confused with Company Accounts, another filing obligation for Limited Companies that shall be looked at in a future post.
